These Terms of Service ("Terms") govern your use of txgroundwork.com (the "Site"), operated by Texas Groundwork LLC d/b/a Groundwork, a Texas limited liability company ("Groundwork," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. What the Site is for

The Site describes Groundwork's done-for-you business setup services for Texas service businesses. It lets you contact us, answer screening questions, complete an intake form, and pay for services.

2. Purchases are governed by the Customer Agreement

Groundwork services are provided under the Groundwork Customer Agreement + Order Form (the "Customer Agreement"). That agreement covers scope, fees, pass-through costs, payment terms, refunds, timelines, intellectual property, limits on liability, and termination. If these Terms conflict with the Customer Agreement on anything about the services, the Customer Agreement controls. Descriptions on the Site, such as the list of deliverables, are summaries. The Customer Agreement and your Order Form decide exactly what is in scope for your engagement.

3. Fees and payment

Prices on the Site are in U.S. dollars. We may change prices on the Site at any time. The price on your signed Order Form applies to your engagement.

  • Build Fee. The Build Fee is a one-time $1,500 fee.
  • Optional $100 DBA fee. If your business will operate under a trade name that is different from your legal LLC name, we handle your assumed name (DBA) filing for an extra $100. This fee is optional and is not part of the Build Fee. If your trade name is the same as your legal LLC name, or you do not use a trade name, there is no DBA fee.
  • State filing fees are pass-throughs. Texas Secretary of State filing fees, including the state's assumed name fee when a DBA is filed, are pass-through costs that you pay. They are not part of the Build Fee and are not charged at checkout on the Site. Other third-party costs, such as domain registration, registered agent service, and insurance premiums, are also pass-throughs. We give you an itemized estimate, and we get your approval before we collect or incur any pass-through cost, unless you choose to pay the vendor directly. Actual costs may differ from the estimate.
  • Recurring fees after handoff. Some services, such as a domain, business email, phone, and website hosting, carry their own recurring fees that you take over after handoff.

Payments are processed by Stripe on Stripe-hosted pages. Klarna payment plans may be available at checkout through Stripe. Checkout covers only the $1,500 Build Fee and, if it applies, the optional $100 DBA fee. State filing fees are paid separately. Klarna financing is an agreement between you and Klarna, under Klarna's terms. We do not receive or store your card or bank details. Your Order Form sets when payment is due.

4. First-year items

Some items are covered for the first year only:

  • Registered agent. When it is in scope for your engagement, we arrange your first year of registered agent service through a partner, as a pass-through cost. After the first year, you are responsible for keeping registered agent coverage in place and paying for it.
  • Domain. Your first year of domain registration is a pass-through cost. Renewals after that are yours.
  • Insurance. If an insurance premium is collected through us, it covers the first policy term only, as a pass-through cost. Renewals are between you and your broker or carrier.

5. Refunds and cancellation

Refunds and cancellation are governed by the Groundwork Customer Agreement + Order Form. In plain English, the agreement currently says:

  • If you cancel after kickoff for your own convenience, Groundwork keeps a cancellation fee equal to the greater of 25% of the Build Fee or the value of the work already completed. We return any pass-through money we have not yet paid to vendors, less any vendor charges that cannot be refunded.
  • If Groundwork ends the engagement without cause, we refund the unearned part of the Build Fee and any unused pass-through money.
  • Declines by others. The Build Fee is not refunded just because a bank, government agency, insurance carrier, or Google declines you.

If this summary conflicts with the Groundwork Customer Agreement + Order Form, the agreement controls.

6. Prep-and-guided services; not legal, tax, or insurance advice

Groundwork's services are business setup preparation and guidance. We prepare documents, coordinate with partners, and guide you through each step. You sign formation, IRS, and other identity-based documents yourself. You also complete bank identity-verification and account-opening steps, personal license applications, and Google Business Profile verification yourself. If your Order Form marks an item as prep/guided only, we prepare it and guide you through it, and we do not promise that a filing will happen by a set date.

Groundwork does not give legal or tax advice. Groundwork is not a law firm, CPA firm, tax advisor, insurance broker, or insurance carrier. Nothing on the Site is legal, tax, financial, or insurance advice. Content on the Site is general information. Talk to your own lawyer, CPA, or licensed insurance professional about your situation.

7. No guarantees

We do not guarantee any business outcome. That includes approval of a filing, bank account, license, insurance policy, or Google Business Profile verification, the timing of any government agency or third party, or the number of clients or amount of revenue you will get.

8. Your responsibilities

When you use the Site, you agree to:

  • give accurate information in our forms;
  • use the Site only for lawful purposes;
  • not interfere with the Site's operation or security, or try to gain unauthorized access to it;
  • not scrape, copy, or reuse Site content except as these Terms allow; and
  • not submit anything unlawful, harmful, or that violates someone else's rights.

You must be at least 18 years old to buy services through the Site.

9. Intellectual property

The Site and its content, including text, graphics, logos, and design, belong to Groundwork or its licensors and are protected by law. You may view and print Site pages for your own personal, non-commercial use. Rights in deliverables we create for clients are governed by the Customer Agreement.

10. Third-party services and links

The Site uses or links to third-party services, including Framer, Tally, Stripe, Klarna, and Google. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party sites or services.

11. Privacy

Our Privacy Policy, available at https://txgroundwork.com/privacy, explains how we collect and use information through the Site.

12. Disclaimer

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SITE WILL BE ERROR-FREE OR ALWAYS AVAILABLE. Warranties for paid services, if any, are only those stated in the Customer Agreement.

13. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, GROUNDWORK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT USE OF THE SITE (NOT ABOUT PAID SERVICES) WILL NOT EXCEED $100. Liability for paid services is governed by the Customer Agreement.

14. Indemnity

You agree to indemnify Groundwork against third-party claims arising from your misuse of the Site, your violation of these Terms, or false information you submit, except to the extent caused by our willful misconduct.

15. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute about these Terms or the Site will be brought only in the state courts located in Denton County, Texas, and you consent to those courts' jurisdiction.

16. Changes

We may update these Terms from time to time. We will post the new version on this page and change the "Last updated" date. Continuing to use the Site after a change means you accept the updated Terms.
